Terms and Conditions of Sale of CERES TAG Products

  1. Application of these terms and conditions Please read these terms and conditions (Terms) before registering a CERES TAG Portal Account. Registration of a CERES TAG Portal Account constitutes an agreement by the Customer to be bound by these Terms.
  2. Definitions In these Terms, capitalised terms have the meaning given to them in clause 18.
  3. CERES TAG Portal Account
    1. Registration In order for the Customer to access Device Data, the Customer must create an account through the CERES TAG Portal on the CERES TAG website (CERES TAG Portal Account), register the Devices in their CERES TAG Portal Account and maintain a valid subscription with CERES TAG for those Devices. To qualify for a CERES TAG Portal Account, the Customer must be a legal entity (such as a company or sole trader), or the person creating the account must be over the age of 18 years.
    2. Account Security The Customer is responsible for choosing a username and password for their CERES TAG Portal Account and should keep the password secure. The Customer is responsible for all activities performed using the username and password for their CERES TAG Portal Account whether authorised by the Customer or not (except where CERES TAG has failed to keep the username and password secure). The Customer must promptly notify CERES TAG if the Customer becomes aware of any unauthorised access to or use of their CERES TAG Portal Account.
    3. Linking Software Solutions The Customer may apply to link one or more Software Solutions to their CERES TAG Portal Account by following the instructions on the CERES TAG website. The Customer must provide CERES TAG with the information required for CERES TAG to authenticate the Customer's CERES TAG Portal Account with the relevant Software Partner. A Software Partner will not have access to the Customer's Device Data unless the account has been authenticated.
  4. Purchasing CERES TAG Products
    1. Where to purchase CERES TAG Products are available for purchase from CERES TAG Authorised Distributors. The price and other terms of sale for CERES TAG Products are determined by Authorised Distributors. CERES TAG is not responsible for the acts or omissions of Authorised Distributors and any claims relating to CERES TAG Products (including warranty claims) should be directed to the relevant Authorised Distributor.
    2. Satellite Service The price of the Device includes the Satellite Service for the Device for the Service Life of the Device. The Customer is responsible for any additional charges for third-party international connecting carriers, and any charges or taxes imposed by any government agency arising out of a Customer’s use of the Satellite Service.
  5. Device use and activation
    1. Permitted use The Customer must only use Devices for the purposes of identification, tracking and monitoring of land-based livestock.
    2. Application
      • The Customer must apply the Device to land-based livestock in accordance with the instructions supplied with the Device.
      • The CERES RANCH Device is advised to be applied using the CERES RANCH Applicator which can be purchased separately.
      • The CERES RANCHER Device is advised to be applied using the CERES RANCHER Applicator which can be purchased separately.
      • The CERES GEN Devices are advised to be applied using an applicator from the authorised applicators list. Approved applicators for the application of CERES GEN devices:
        • CERES RANCHER Application Kit
        • Leader New Two Piece Tagger/Applicator
        • Allflex UTT3S Pro Tag Applicator
        • Allflex Identiplier Applicator
        • Shearwell BOS Tag Applicator
        • (Datamars Z Tag) Agri-ID Universal Tagger
        • Leader Tag Standard Deluxe Applicator
    3. Activation
      • A Device will not transmit Device Data until it has been activated, which can be done by following the instructions supplied with the Device.
      • CERES RANCH Devices can be activated using the CERES RANCH Activation Tool.
      • CERES RANCHER and CERES GEN Devices can be activated using the CERES RANCHER Activation Tool.
      • CERES GEN Devices may alternatively be activated using the process outlined in the instructions supplied with the Device.
    4. Service Life
      • CERES RANCH Devices have a Service Life of 3 years from the date of activation (Service Life).
      • CERES RANCHER and CERES GEN Devices have a Service Life of 3 years from
        • the date of registration in a CERES TAG Portal Account, or
        • 60 days after the date of purchase, whichever comes first.
      • A Device will collect and transmit Device Data only during its Service Life.
    5. Satellite Service
      • Satellite connectivity and the chip within a Device (Satellite Service) are supplied to CERES TAG by a third-party satellite service provider.
      • Additional terms and conditions for the supply and use of the Satellite Service are set out in Annexure A (Satellite Service Terms).
      • The use of the Satellite Service by the Customer is subject to the Satellite Service Terms. The Customer acknowledges and agrees that CERES TAG may immediately disconnect the Satellite Service without notice where the Customer fails to comply with the Satellite Service Terms or uses or is suspected of using the Satellite Service for fraud or other violation of applicable laws or regulations.
  6. Device Registration and Subscription
    1. Device Registration The Customer can register Devices to their CERES TAG Portal Account by following the instructions included with each box of Devices.
    2. Subscription Period The Subscription Period for a Registered Device is 3 years commencing on the date it was registered to the Customer's CERES TAG Portal Account. For Devices with a Service Life that commences on activation, the Customer should register the Devices before activation. Delay in registering a Device will not affect the Subscription Period or the Customer's liability to pay Subscription Fees.
    3. Subscription Fee
      • A Subscription Fee applies for each Registered Device. Details of the Subscription Fee will be notified to the Customer at the time of registering a Device.
      • The Subscription Fee is charged on the day a Device is registered and then on the 15th day of each month until the end of the Subscription Period. The Subscription Fee will be reduced on a daily pro-rata basis at the end of the total subscription period where there was a period less than a full month.
      • CERES TAG may change the Subscription Fee during the Subscription Period by giving the Customer at least 30 days' notice.
      • When registering a Device, the Customer will be required to provide the details of a valid debit or credit card. Subscription Fees will be charged to that card. The Customer must maintain a valid debit or credit card associated with their CERES TAG Portal Account while there are Registered Devices.
      • If a Subscription Fee is not paid on time, CERES TAG may suspend access to Device Data for Registered Devices until the Subscription Fee is paid. Failure to pay the Subscription Fee is also a material breach of these Terms for the purposes of clause 12(c) and will enable CERES TAG to use legal ways to recoup fees from the subscriber.
    4. Transferring Devices Registered Devices can be transferred from one CERES TAG Portal Account (Outgoing Account) to another CERES TAG Portal Account (Incoming Account). Please contact CERES TAG to request to transfer Registered Devices. The transfer will need to be approved by the owners of both the Outgoing Account and Incoming Account. Once CERES TAG processes the transfer request, the Registered Devices will be removed from the Outgoing Account and added to the Incoming Account, and the Subscription Fees for both accounts will be adjusted accordingly.
  7. Dealings with Devices
    1. Compliance with law The Customer is responsible for ensuring all dealings with Devices are in compliance with applicable laws and regulations relating to the use, transfer and removal of animal identification tags, including requirements under applicable biosecurity laws.
    2. Removal/disposal of Devices
      • CERES RANCH Devices are designed to be reused within their Service Life. The tether and pin must be replaced every time the CERES RANCH Device is transferred from one animal to another.
      • CERES RANCHER Devices and CERES GEN Devices are designed to be reused within their Service Life. The pin must be replaced every time the CERES RANCHER Device or CERES GEN Device is transferred from one animal to another.
  8. Device Data
    • During the Service Life of a Device it will collect, process and transmit data (Device Data).
    • Device Data will be received and stored by CERES TAG for a minimum period of 3 years from the last date of transmission of data from the Device. After this time, CERES TAG may, at its option, retain the data (in a de-identified format), delete the data, or where required by a regulatory authority, transfer the data to such authority.
    • CERES TAG does not provide the Customer with access to Device Data. The Customer may access Device Data for Registered Devices through a Software Partner. Access to Device Data is subject to terms and conditions (including fees) set by the Software Partner.
    • CERES TAG requires Software Partners to keep the Customer's Device Data confidential and only use it for the purposes of providing Software Solutions to the Customer or as permitted by this clause 8. A Software Partner will not be permitted to provide Device Data to third parties (except to a Customer Contractor) without CERES TAG’s prior consent. A Software Partner may aggregate Device Data with the Device Data of its other customers or other data that is not Device Data on an anonymised and de-identified basis.
    • CERES TAG may disclose identifying Device Data to a third party, with the Customer's consent.
    • CERES TAG may use Device Data on a confidential basis for internal purposes, including to develop and improve CERES TAG products and services.
    • CERES TAG or its contracted data services provider may aggregate Device Data with other customer and third-party data and use and disclose this aggregated data for any purpose, including data analytics, reporting and to develop new products and services, provided the aggregated data does not identify the Customer.
  9. Privacy
    1. Privacy Policy CERES TAG’s Privacy Policy is available at https://www.cerestag.com/privacy-policy/. Any personal information the Customer provides to CERES TAG will be handled in accordance with CERES TAG’s Privacy Policy.
    2. Regulatory notification If the Customer buys an Accredited Device, CERES TAG will provide information on the user, location, number of animals and number of Accredited Devices to the applicable livestock identification or biosecurity regulator. Further, the Customer consents to CERES TAG sharing information about the Accredited Devices and the CERES TAG Portal Account with the applicable regulator on request by the regulator in the event of an emergency or other significant event affecting livestock or biosecurity or welfare, such as foot and mouth outbreak.
  10. Consumer Protection Law
    • The Customer may have rights under applicable consumer protection law with respect to the purchase of the CERES TAG Products. Any disclaimer, exclusion or limitation in these Terms applies to the fullest extent permitted by law and subject to any Consumer Guarantee that cannot be excluded, limited or modified at law.
    • Where CERES TAG fails to provide any CERES TAG Product in accordance with applicable Consumer Guarantees, then CERES TAG’s liability to the Customer will not exceed the cost of re-supplying the CERES TAG Product.
  11. Disclaimer and liability
    • CERES TAG disclaims and does not make any representation or warranty of any kind in respect of CERES TAG Products or Device Data, including without limitation any representation or warranty that Device Data will be available, complete or error-free. CERES TAG is not responsible for and expressly disclaims any liability for loss or damage suffered or incurred by any person in reliance on Device Data.
    • CERES TAG will not be liable for any loss of sales, loss of profits, loss of revenue, loss of anticipated savings, loss of data, loss of goodwill, wasted expenditure, or any indirect or consequential loss.
    • For any other loss, CERES TAG’s liability to the Customer is limited to the amount of Subscription Fees paid by the Customer to CERES TAG in the 6 months preceding the event giving rise to liability.
    • The exclusions and limitations of liability in these Terms operate to the maximum extent permitted by applicable law.
  12. Account closure, suspension and termination
    • The Customer may cancel their subscription for one or more Registered Devices prior to the end of the Subscription Period by agreement. Cancelling the subscription will result in the Device being disabled so that Device Data will stop being collected. The Customer will be required to pay the equivalent of 12 months of Subscription Fees that would otherwise have been paid or pay the remainder of the Subscription Period for that Device, whichever is less (Cancellation Fee). The Cancellation Fee will be charged to the Customer upon the subscription being cancelled.
    • The Customer may close their CERES TAG Portal Account by following the process on the CERES TAG website. If the Customer has any Registered Devices with a current subscription, the Customer will need to cancel their subscription for those Devices and pay the applicable Cancellation Fees in accordance with clause 12(a) before closing their CERES TAG Portal Account.
    • CERES TAG may close the Customer's CERES TAG Portal Account if
      • the Customer has no Registered Devices and the CERES TAG Portal Account has been inactive for more than 12 months, or
      • the Customer is in material breach of these Terms and (where the breach capable of being remedied) fails to remedy the breach within 30 days of receiving notice from CERES TAG to do so.
    • Where clause 12(c) applies, the subscription for any Registered Devices will also be cancelled and the Customer will be required to pay the applicable Cancellation Fees in accordance with clause 12(a).
  13. Force Majeure If a party is prevented from or delayed in performing an obligation by an event beyond its reasonable control and without the fault or negligence of that party (Force Majeure), then that party's obligation is suspended during the period the Force Majeure continues and any further period that is reasonable in the circumstances.
  14. UN sanctions and export policy The Customer must not order from CERES TAG, and CERES TAG will not supply, CERES TAG Products if the Customer is, or the Customer is located in a country that is, subject to a UN sanction or export control applicable to the CERES TAG Products. The Customer must comply with all UN sanctions, export or re-export restrictions that apply to the CERES TAG Products (including Devices).
  15. Third party rights No one other than a party to these Terms has any right to enforce these Terms. However, if a person acquires a Device with an animal lawfully from the Customer, the Customer may transfer the Terms to that person.
  16. Terms and Conditions Updates
    • CERES TAG may change these Terms at any time. Where CERES TAG makes changes to these Terms, CERES TAG will publish the updated Terms on the CERES TAG website.
    • If the change to these Terms materially disadvantages the Customer, the change will not take effect until
      • where the Customer has no Registered Devices, 30 days after the updated Terms are published on the CERES TAG website; or
      • where the Customer has Registered Devices, the end of the Subscription Period of the last Device registered by the Customer prior to the updated Terms being published on the CERES TAG website. Otherwise, the change will take effect from the date the updated Terms are published on the CERES TAG website. Notwithstanding the foregoing, changes that are required to enable CERES TAG to comply with the law will take effect immediately.
    • If the Customer does not accept the updated Terms, the Customer may cancel their subscriptions for Registered Devices in accordance with clause 12(a) and close their CERES TAG Portal Account in accordance with clause 12(b).
  17. Governing law
    • These Terms are governed by and must be construed according to the law applying in Queensland, Australia.
    • The United Nations Convention on Contracts for International Sale of Goods (and any local law that implements such convention) does not apply to these Terms.
  18. Definitions

    "Accredited Tag" means a Device that is approved by the relevant regulator for livestock verification and identification purposes and identified on the CERES TAG website as an accredited Device.

    "Authorised Distributor" means an entity authorised by CERES TAG to sell CERES TAG Products. A list of Authorised Distributors is available on the CERES TAG website.

    "Cancellation Fee" has the meaning given in clause 12(a).

    "CERES RANCH Activation Tool" means the specific device that is required to activate the CERES RANCH Device.

    "CERES TAG" means CERES TAG LTD ABN 51 614 436 467.

    CERES TAG Products" means CERES TAG products available for purchase from CERES TAG or an Authorised Distributor.

    "CERES TAG Smart Applicator" means the specific device that is required to apply the CERES TRACE Device and CERES WILD Device.

    "Customer" means the person who purchases a CERES TAG Product from CERES TAG or an Authorised Distributor.

    "CERES Portal Account" has the meaning given in clause 3.1.

    "Customer Contractor" means a third party engaged by the Customer who may use Device Data as directed by the Customer, however excludes financial and insurance companies.

    "Device" means a CERES TAG smart animal ear device.

    "Device Data" has the meaning given in clause 8(a).

    "Force Majeure" has the meaning given in clause 13.

    "Registered Device" means a Device that has been registered to the Customer's CERES TAG Portal Account.

    "Satellite Service" has the meaning given in clause 5.5(a).

    "Satellite Service Terms" are the terms and conditions that apply to the supply of the Satellite Service, as set out in the annexure.

    "Service Life" means the service life of a Device as set out in clause 5.4.

    "Software Partner" means an entity authorised by CERES TAG to access Device Data for the purpose of providing Software Solutions.

    "Software Solution" means a software solution provided by a Software Partner.

    "Subscription Fee" means the fee payable for each Registered Device during its Subscription Period.

    "Subscription Period" for a Registered Device, means the period in clause 6.2.

Annexure A - Satellite Service Terms

  1. Introduction
    • This Annexure A contains additional terms that apply to the Satellite Service supplied by CERES TAG third party satellite service provider, Globalstar Inc ("Globalstar").
    • In this Annexure A, "Globalstar System" refers to the low earth orbit satellite constellation owned and operated by Globalstar and related earth-based control centres operated by both Globalstar and independent operators under contract with Globalstar.
  2. Disruptions to service
    • The provision of the Satellite Service to the Customer relies on the proper functioning of the Device, as well as the proper functioning of the equipment forming the Globalstar System not under CERES TAG control.
    • CERES TAG obligation to provide the Satellite Service to the Customer is subject to each of the following:
      • the proper functioning of the Globalstar System;
      • the proper functioning of any third party gateway operator or carrier system relied upon to complete a transmission or call (such as long-distance, roaming, exchange or interconnection providers); and
      • the availability of capacity on the Globalstar System.
  3. System limitations The Customer acknowledges and agrees that the following are constraints on CERES TAG’s ability to provide the Satellite Service without disruption:
    • the Globalstar System is inherently capacity constrained;
    • the Satellite Service may be refused or limited, without liability to CERES TAG or Globalstar, due to capacity limitations, including capacity limitations due to any repair, testing, upgrade or modification work on either CERES TAG’s system or the Globalstar System;
    • emergency access on the Globalstar System by public safety organisations may pre-empt the Customer's use on the Globalstar System; and
    • the Satellite Service is subject to disruptions and/or deficiencies caused by atmospheric or terrain conditions or in-building conditions.
  4. Equipment Equipment used on the Globalstar System is either Globalstar Registered or Globalstar Certified:
    • Globalstar Certified products have been tested to ensure that their performance meets Globalstar’s certification performance specifications. Certified Products, when used with a clear view of the sky and no local interference, will provide the message success rates advertised on the online Simplex Coverage map at www.globalstar.com.
    • Globalstar Registered products are approved for operation on the Globalstar System, but have no associated performance requirements. The effective coverage area for Globalstar Registered Products may differ from the coverage advertised for Globalstar Certified Products, and displayed on the online Simplex Coverage map at www.globalstar.com.
  5. Roaming Local laws and regulations may limit permitted roaming by the Satellite Service. The supply and use of the Satellite Service is subject to such laws and regulations applicable in the country in which the Customer will use the Devices. The Customer is responsible for complying with such laws or regulations imposed by the location that the Customer roams into using the Satellite Service and for ensuring the Customer is permitted to use the Satellite Service in that location. CERES TAG and Globalstar are not liable for any confiscation of the Devices, fines, penalties or any other consequences resulting from illegal or disallowed roaming usage.
  6. Limitation of Liability The Customer acknowledges and agrees that its sole remedy for damages due to any failure, disruption or degradation in the Satellite Service shall be limited to the charges imposed for the affected Service for the period such failure, disruption or degradation occurred. IN NO EVENT SHALL GLOBALSTAR BE LIABLE, WHETHER FOR BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, FOR LOSS OF PROFITS, OR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND. This clause 6 is subject to applicable law and applies to the maximum extent permitted by applicable law.
  7. Anti-fraud and Abuse
    1. General statement
      • The Satellite Service is available only to a Customer who:
        • accesses Satellite Service using Globalstar-authorized equipment in the manner such equipment is designed to be used; and
        • is not using Satellite Service in furtherance of criminal or harassing activity.
      • Any other connection to or use of Globalstar's ground infrastructure or the Globalstar System will be considered to be fraud or abuse. Globalstar is under no obligation to supply Satellite Service to any person suspected of engaging in fraud or abuse. Examples of fraud and abuse are set out below.
    2. Fraud Examples of subscriber fraud include:
      • accessing or attempting to access Satellite Service by using an unauthorized device or by tampering with or altering authorized IoT terminal equipment;
      • obtaining or attempting to obtain permission to access Satellite Service by providing false or misleading information;
      • intentionally interfering with or causing disruptions in Globalstar's provision of the Satellite Service to other subscribers; and
      • selling or otherwise transferring a Globalstar access number or account to another person separately from the CERES TAG Products.
    3. Abuse Examples of subscriber abuse include:
      • using the Satellite Service to further criminal activity;
      • using the Satellite Service to make unwanted foul or profane expressions, to impersonate another person with fraudulent or malicious intent, or to call another person so frequently or at such times of day or in any other manner with the intended effect of annoying, threatening or harassing such other person; and
      • using the Satellite Service in a manner that interferes unreasonably with the use of the Satellite Service by one or more other subscribers.
    4. CERES TAG's responsibilities Customer acknowledges and agrees that if CERES TAG becomes aware of any incident of fraud or abuse by the Customer CERES TAG may be required to:
      • notify Globalstar;
      • provide assistance to Globalstar to investigate any suspected fraud or abuse;
      • discontinue the provision of Satellite Service to the Customer if CERES TAG or Globalstar reasonably suspects the Customer of fraud or abuse.
